End User License Agreement

Effective: May 31, 2026

This End User License Agreement (“Agreement”) governs your access to and use of the OpsRev application and related software that connects to and exchanges data with the third-party services you authorize (the “App”), provided by OpsRev, LLC (“OpsRev,” “we,” “us,” or “our”). This Agreement supplements our Terms of Service and Privacy Policy and applies specifically to your use of the App and the connected services described below. Please read it carefully.

Acceptance of This Agreement

By installing, connecting, authorizing, or otherwise using the App, you agree to be bound by this Agreement. If you are using the App on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to that organization. If you do not agree to this Agreement, do not connect or use the App.

License Grant

Subject to your compliance with this Agreement, OpsRev grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the App for your internal business purposes. We and our licensors retain all right, title, and interest in and to the App. No rights are granted to you other than as expressly set out in this Agreement.

Connected Services

The App connects to third-party services that you authorize (each, a “Connected Service”) so that OpsRev and its AI agents can perform operational and revenue workflows on your behalf. By connecting a Connected Service, you authorize OpsRev to access and interact with that service’s data and features through its application programming interfaces, in accordance with the permissions you grant and this Agreement. Your use of each Connected Service remains governed by that provider’s own terms and privacy policies, and you are responsible for maintaining your own account and entitlements with each provider. Service-specific terms appear below.

QuickBooks Online (Intuit)

If you connect the App to QuickBooks Online, you authorize OpsRev, acting through Intuit’s APIs and on your behalf, to read and write your QuickBooks Online company data — including records such as customers, vendors, invoices, estimates, payments, bills, and similar transactions and reference data — in order to provide the App’s features. You represent and warrant that you have the authority to grant this access for the QuickBooks Online company you connect and to permit OpsRev to read and write data within it.

QuickBooks and QuickBooks Online are trademarks of Intuit Inc. Intuit is not a party to this Agreement, does not sponsor or endorse the App, and is not responsible for the App. The App is not produced, endorsed, or supported by Intuit. Your use of QuickBooks Online is governed by your own agreement with Intuit, and OpsRev is not responsible for the availability, accuracy, or operation of QuickBooks Online or Intuit’s services. You may disconnect the App from QuickBooks Online at any time through your Intuit or QuickBooks account settings; doing so will end the App’s access to your QuickBooks Online data on a going-forward basis.

Your Data and Privacy

Our handling of the data we access through the App and its Connected Services is described in our Privacy Policy. We do not sell your data, and we do not use data accessed through a Connected Service to train generalized or non-personalized artificial intelligence or machine learning models. We use such data only to provide and improve the App’s features for you, to comply with applicable law, and as otherwise described in our Privacy Policy. You retain ownership of your data, and you grant us the rights necessary to access and process it to provide the App.

Acceptable Use

You agree not to:

  • Use the App in violation of any applicable law or regulation, or in violation of any Connected Service provider’s terms;
  • Access or attempt to access data or accounts you are not authorized to access;
  • Infringe the intellectual property or other rights of any third party;
  • Reverse engineer, decompile, or attempt to extract the source code of the App, except as permitted by law;
  • Interfere with or disrupt the integrity or performance of the App or any Connected Service; or
  • Use the App to transmit malware, spam, or other harmful or unlawful content.

Intellectual Property

The App, including all software, text, graphics, logos, and other content we provide (excluding your data and the data of Connected Services), is owned by OpsRev or its licensors and is protected by intellectual property laws. Except for the limited license granted above, this Agreement does not transfer any intellectual property rights to you.

Disclaimer of Warranties

The App is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the App will be uninterrupted, error-free, or secure, or that it will operate in combination with any Connected Service without interruption or error. We are not responsible for any Connected Service or for any act or omission of a Connected Service provider.

Limitation of Liability

To the maximum extent permitted by law, OpsRev and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of the App or any Connected Service. Our total liability for any claim arising out of or relating to this Agreement or the App will not exceed the greater of the amounts you paid us in the twelve months preceding the claim or one hundred U.S. dollars (US$100).

Indemnification

You agree to indemnify and hold harmless OpsRev and its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or related to your use of the App or any Connected Service, your data, or your violation of this Agreement.

Term and Termination

This Agreement remains in effect while you use the App. You may stop using the App at any time and may disconnect any Connected Service through that service’s account settings. We may suspend or terminate your access to the App at any time, with or without cause or notice, including if we believe you have violated this Agreement. Upon termination, the license granted to you ends and you must stop using the App. Provisions that by their nature should survive termination — including ownership, disclaimers, limitation of liability, and indemnification — will survive.

Relationship to Our Terms of Service and Privacy Policy

This Agreement supplements our Terms of Service and incorporates our Privacy Policy by reference. In the event of a conflict between this Agreement and the Terms of Service with respect to the App or a Connected Service, this Agreement controls as to that subject matter. A separate written agreement or order form between you and OpsRev, if any, controls over this Agreement to the extent of its subject matter.

Governing Law

This Agreement is governed by the laws of the State of Washington, without regard to its conflict of laws principles. You agree that any dispute arising out of or relating to this Agreement or the App will be subject to the exclusive jurisdiction of the state and federal courts located in Washington.

Changes to This Agreement

We may update this Agreement from time to time. When we do, we will revise the “Effective” date at the top of this page. Material changes will be communicated through the App or by other appropriate means. Your continued use of the App after an update constitutes acceptance of the revised Agreement.
