These Terms of Service (“Terms”) govern your access to and use of the website at www.opsrev.ai and the products and services provided by OpsRev, LLC (“OpsRev,” “we,” “us,” or “our”) (collectively, the “Services”). Please read these Terms carefully.

Acceptance of These Terms

By accessing or using the Services, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to that organization. If you do not agree to these Terms, do not use the Services.

Description of the Services

OpsRev provides software and related services that deploy AI agents to automate operational and revenue workflows. The features, functionality, and availability of the Services may change over time. Use of certain features may be governed by a separate written agreement or order form between you and OpsRev; in the event of a conflict, that agreement controls over these Terms with respect to its subject matter.

Accounts and Eligibility

You must be at least 18 years old to use the Services. To access certain features, you may need to create an account, including by signing in with your Google account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate information and to keep it up to date, and to notify us promptly of any unauthorized use of your account.

Acceptable Use

You agree not to:

• Use the Services in violation of any applicable law or regulation;
• Infringe the intellectual property or other rights of any third party;
• Attempt to gain unauthorized access to the Services or related systems or networks;
• Interfere with or disrupt the integrity or performance of the Services;
• Reverse engineer, decompile, or attempt to extract the source code of the Services, except as permitted by law; or
• Use the Services to transmit malware, spam, or other harmful or unlawful content.

Intellectual Property

The Services, including all software, text, graphics, logos, and other content provided by us (excluding your content), are owned by OpsRev or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for their intended purpose, subject to these Terms. You retain ownership of any data or content you submit to the Services, and you grant us the rights necessary to operate and provide the Services to you.

Third-Party Services

The Services may integrate with or link to third-party products and services, such as Google sign-in and other tools you choose to connect. We are not responsible for the content, policies, or practices of any third party. Your use of third-party services is governed by their respective terms and privacy policies.

Fees

Some features of the Services may require payment of fees. Any applicable fees, billing terms, and payment schedules will be described in a separate order form or agreement. Unless otherwise stated, fees are non-refundable.

Disclaimer of Warranties

The Services are provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure, or that any defects will be corrected.

Limitation of Liability

To the maximum extent permitted by law, OpsRev and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of the Services. Our total liability for any claim arising out of or relating to these Terms or the Services will not exceed the greater of the amounts you paid us in the twelve months preceding the claim or one hundred U.S. dollars (US$100).

Indemnification

You agree to indemnify and hold harmless OpsRev and its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or related to your use of the Services or your violation of these Terms.

Termination

We may suspend or terminate your access to the Services at any time, with or without cause or notice, including if we believe you have violated these Terms. You may stop using the Services at any time. Provisions that by their nature should survive termination — including ownership, disclaimers, limitation of liability, and indemnification — will survive.

Governing Law

These Terms are governed by the laws of the State of Washington, without regard to its conflict of laws principles. You agree that any dispute arising out of or relating to these Terms or the Services will be subject to the exclusive jurisdiction of the state and federal courts located in Washington.

Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the “Effective” date at the top of this page. Material changes will be communicated through the Services or by other appropriate means. Your continued use of the Services after an update constitutes acceptance of the revised Terms.
